Terms of Service

These Terms of Service (“Terms”) govern your use of the UpInbox Chrome Extension (“UpInbox” or the “Extension”), provided by GALAXZ HOLDINGS INC, doing business as UpGPT (“we”, “us”, or “our”). By installing or using UpInbox, you agree to these Terms. If you do not agree, do not install or use the Extension.

1. Service Description

UpInbox is a Gmail inbox productivity tool delivered as a Chrome Extension. It connects to your Gmail account via the Gmail API (OAuth 2.0) to classify your emails, enable bulk cleanup actions, apply smart labels, generate AI-assisted draft replies, and provide inbox analytics. UpInbox operates under a freemium model: core cleanup features are free forever, and advanced AI features require a paid subscription or a Bring-Your-Own-Key (BYOK) API key.

2. Account Terms

  • You must have a valid Google account and Gmail to use UpInbox.
  • You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to create an account.
  • You are responsible for maintaining the security of your Google account credentials. UpInbox never stores your Google password.
  • You may not share your paid subscription across multiple Google accounts. Each subscription is for a single Gmail account.
  • You are responsible for all actions taken within UpInbox under your account, including bulk archive and trash operations.

3. Free Tier and Paid Subscriptions

3a. Free tier (no card required)

The Free tier includes Smart Rules heuristic classification, sender scoring, bulk archive and label actions, whitelist/blacklist management, and the 30-day Undo Vault. These features are free forever.

3b. Funded AI period (new users)

New users receive a funded AI classification period (up to 30 days and a limited token budget) at no cost. During this period, UpGPT funds AI processing on your behalf using Gemini 2.5 Flash. When the funded period ends, you may continue with heuristic mode, add a BYOK key, or subscribe to Plus.

3c. BYOK (Bring Your Own Key)

You may supply your own API key from Google AI, OpenAI, or Anthropic to enable AI classification at no charge to UpGPT. Your API key is stored locally on your device. Classification calls go directly from your browser to your chosen provider. You are responsible for any costs your provider charges.

3d. Paid subscriptions

  • Plus ($9/month): Unlimited AI classification, Smart Digest with AI summaries, Auto-Draft replies, background auto-scan, advanced analytics, and priority detection.
  • Extra ($19/month): Plus features plus Archer Express (calendar AI) and Echo Express agents. (Coming soon.)
  • Pro ($29/month): All features including Scout Express and UpLift Express agents. (Coming soon.)

Feature availability and prices are subject to change with 30 days’ advance notice to active subscribers. Prices are in USD and exclusive of applicable taxes.

4. Payment Terms

  • All payments are processed by Stripe. We do not store or handle payment card data.
  • Subscriptions are billed monthly in advance, automatically renewing on the same calendar date each month.
  • Cancellation: You may cancel at any time from Settings → Subscription or by emailing legal@upgpt.ai. Your access continues until the end of the current paid billing period. We do not offer prorated refunds for partial months.
  • Failed payments: If a payment fails, we will retry up to three times over seven days. If all retries fail, your account will downgrade to the Free tier. You can re-subscribe at any time.
  • Refunds: Monthly plans include a 7-day money-back guarantee for first-time subscribers. Contact legal@upgpt.ai within 7 days of your first monthly charge. Annual plans are non-refundable — the discounted annual rate reflects a commitment for the full term. Refunds are not available after the 7-day window or for any annual plan.
  • Referral credits (earned via the referral program) have no cash value, cannot be converted to cash, and expire 90 days after issuance.

5. Acceptable Use

You agree not to use UpInbox to:

  • Send spam or unsolicited bulk email, including using the Auto-Draft feature to mass-produce outbound messages without individual human review
  • Perform bulk operations on Gmail accounts you do not own — UpInbox is a single-account, personal productivity tool
  • Scrape or export email data for commercial resale, lead generation, or data brokerage purposes
  • Circumvent Gmail’s rate limits or terms of service
  • Abuse the referral program, including creating fake accounts to generate credits
  • Reverse-engineer, decompile, or redistribute the Extension’s code or assets
  • Interfere with or disrupt UpInbox’s backend infrastructure
  • Process emails in a way that violates applicable privacy laws or the rights of other individuals whose emails are in your inbox

Violation of these restrictions may result in immediate account termination without refund and, where applicable, legal action.

6. Intellectual Property

UpInbox, including its source code, design, icons, AI prompts, branding, and documentation, is the exclusive intellectual property of GALAXZ HOLDINGS INC. All rights reserved.

Your Gmail data remains your property at all times. Your custom Smart Rules templates and Auto-Draft prompt customizations remain your intellectual property. By using UpInbox, you grant UpGPT a limited, non-exclusive license to process your email metadata solely to deliver the classification service as described in our Privacy Policy.

7. Disclaimer of Warranties

UpInbox is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that:

  • Email classification will be 100% accurate
  • The Extension will operate uninterrupted or error-free
  • All features will function correctly across every Gmail configuration, browser version, or operating system
  • The Gmail API will remain available or unchanged — Google may modify or restrict API access at any time, which could impact UpInbox features

Smart Rules (heuristic mode) achieves approximately 70% classification accuracy. AI classification achieves approximately 90–95%, but accuracy varies by email content, language, and category distribution. Always review emails before using the Trash action.

8. Limitation of Liability

To the maximum extent permitted by applicable law, GALAXZ HOLDINGS INC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of UpInbox, including but not limited to:

  • Emails incorrectly classified, archived, or permanently trashed
  • Loss of email data due to local storage being cleared
  • Service interruptions or Gmail API deprecations
  • Costs incurred from AI providers under your BYOK configuration

Our total aggregate liability for any claim relating to UpInbox shall not exceed the greater of: (a) the total subscription fees you paid us in the 12 months preceding the claim, or (b) USD $50.

9. Undo and Data Recovery

UpInbox maintains a 30-day Undo Vault for all bulk actions. Archived emails remain in your Gmail Archive and can be restored via the Undo Vault or directly in Gmail. Emails you move to Trash follow Gmail’s standard 30-day trash retention — after which they are permanently deleted by Google. We strongly recommend using Archive rather than Trash when unsure. UpGPT is not responsible for emails permanently deleted through Gmail’s trash retention policy.

10. Termination

By you: You may stop using UpInbox at any time by uninstalling the Extension from Chrome. Uninstalling clears all local data. If you have a paid subscription, cancel it first to avoid future charges.

By us: We may suspend or terminate your account and access to UpInbox if you materially violate these Terms, abuse our systems, or engage in fraud. We will provide reasonable notice except where immediate action is necessary to protect the integrity of our systems or other users. Upon termination, your local data remains on your device until you clear it. Server-side data is deleted within 72 hours.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by updating the effective date above. For paid subscribers, we will also provide notice via email or through the Extension’s in-app notification system at least 14 days before the changes take effect. Continued use of UpInbox after the effective date of changes constitutes your acceptance of the revised Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree that any disputes arising out of or relating to these Terms or the use of UpInbox shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.

For disputes under $10,000, you may elect binding arbitration under the American Arbitration Association’s Consumer Arbitration Rules. Class action waiver: you agree to resolve any disputes individually and not as part of a class action.
